Acceptance of Terms

By accessing or using the NexoraSoft website, submitting an inquiry, or engaging NexoraSoft for any service, you confirm that:

• You have read, understood, and agree to be bound by these Terms
• You are at least 18 years of age or are accessing the site on behalf of a business entity with authority to bind that entity
• You will comply with all applicable laws and regulations, including those of India

If you do not agree with any part of these Terms, please discontinue use of our website and services immediately.

Our Services

NexoraSoft provides the following services, subject to separate project agreements where applicable:

• Custom ERP, CRM, HMS, and enterprise software development
• AI automation consulting and implementation
• Web and mobile application development
• Digital marketing, SEO, and WhatsApp Business API integration
• Cloud hosting, server management, and Annual Maintenance Contracts (AMC)
• Staff training and technical support

The scope, deliverables, timelines, and pricing for any specific project are governed by a separate Project Agreement or Statement of Work (SOW). In the event of conflict, the Project Agreement takes precedence over these Terms.

NexoraSoft reserves the right to modify, suspend, or discontinue any service offering at any time with reasonable notice.

User Obligations

When using our website or services, you agree not to:

• Use the website for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of our website, servers, or systems
• Transmit any virus, malware, or harmful code via contact forms, email, or other channels
• Reproduce, duplicate, or exploit any part of our website content without written permission
• Use automated tools or scrapers to extract data from our website
• Submit false, misleading, or fraudulent information in any business dealings with us
• Interfere with the proper functioning of our website or services

Violation of any of the above may result in immediate termination of any ongoing engagement and may be reported to appropriate legal authorities.

Intellectual Property

Our content: All content on this website — text, graphics, logos, product names, blog articles, and code — is the exclusive intellectual property of NexoraSoft Private Limited, protected under the Copyright Act, 1957 (India). You may not reproduce or distribute our content without prior written consent.

Client deliverables: Upon full payment of all agreed fees, NexoraSoft assigns to the client all intellectual property rights in the custom software developed specifically for that client. NexoraSoft retains all rights to:

• Proprietary frameworks, libraries, and reusable components developed independently
• Open-source software used in the project (subject to their respective licenses)
• Any pre-existing NexoraSoft intellectual property incorporated into the deliverable

Portfolio rights: NexoraSoft reserves the right to reference the client relationship and project type in our portfolio and marketing materials, unless the client requests confidentiality in writing.

Software & Product Terms

For NexoraSoft software products (NexoraERP, NexoraCRM, NexoraHMS, and others):

• License: Software is provided under a non-exclusive, non-transferable license for the client's internal business use only
• Modifications: Clients may not reverse-engineer, decompile, or modify the software without written authorization
• Data ownership: All business data entered into the software remains the property of the client at all times
• Uptime: Cloud-hosted solutions are provided with commercially reasonable availability; we do not guarantee 100% uptime
• Backups: While we maintain regular automated backups, clients are responsible for maintaining their own critical data backups
• Updates: Software updates and patches are provided per the terms of the applicable AMC or subscription agreement

Payment & Billing

Unless specified otherwise in the Project Agreement:

• Project work: Milestone-based payments — typically 30% advance, 40% at mid-delivery, 30% on final delivery
• AMC & subscriptions: Billed annually or quarterly in advance as agreed
• Late payments: Invoices unpaid beyond 30 days from the due date may attract interest at 1.5% per month
• Taxes: All fees are exclusive of GST. GST at the applicable rate will be charged additionally on all invoices
• Refunds: Advance payments are non-refundable once development work has commenced, unless NexoraSoft is unable to deliver as per the agreed scope

Disclaimer of Warranties

The NexoraSoft website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the website will be uninterrupted, error-free, or free of harmful components
• Warranties regarding the accuracy, completeness, or timeliness of content on the website

Product warranties for delivered software projects are specified in the respective Project Agreement and are typically limited to a defect warranty period of 90 days from delivery.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, NexoraSoft shall not be liable for:

• Indirect, incidental, consequential, or punitive damages arising from use of our website or services
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from unauthorized access to or alteration of your data by third parties
• Any force majeure event including natural disasters, government actions, internet outages, or cyber attacks

In no event shall NexoraSoft's aggregate liability to any client exceed the total fees paid by that client to NexoraSoft in the preceding 12 months.

Termination

Either party may terminate an ongoing service engagement by providing written notice as specified in the Project Agreement. In the absence of a Project Agreement, either party may terminate with 30 days written notice.

NexoraSoft may terminate or suspend access to services immediately, without prior notice, if you:

• Breach any material provision of these Terms
• Fail to make payment within 60 days of the due date
• Engage in fraudulent, abusive, or illegal activity

Upon termination, NexoraSoft will provide a reasonable transition period and data export assistance, subject to outstanding payments being cleared.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Before initiating legal proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a minimum of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement.

Changes to These Terms

NexoraSoft reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. For existing clients under active Project Agreements, changes will not affect the ongoing engagement unless both parties agree in writing.

Your continued use of our website or services after revised Terms are posted constitutes acceptance of the updated Terms.
